Annual General Meeting

Annual General Meeting (AGM) of the Hampshire Credit Union Ltd.

Monday 15 March 2010 at 6:30 p.m.

At the Wesley Hall, Fratton Road, Portsmouth

We would welcome you all to this very important occasion on the presentation of the results for 2009 and to have your say in how this Credit Union is run.

The agenda will cover the chairperson’s report for 2009, the Supervisory Report, 2009 results and a sense of the future direction for the Hampshire Credit Union. You will have the opportunity to vote on two proposed rule changes (as below), re-election of Bill Enstone who has served for several years as our Treasurer as well as any new proposed Directors.

If you wish to stand, or if you have a nomination for a Director then you can obtain the appropriate form from one of the Hampshire Credit Union offices or request one via email from info@usal.org.uk.

You can vote by attendance at the AGM on Monday 15 March 2010.

Rule changes

Rule 52 Change: Sets the number of Board Directors to a minimum of 5 and a maximum of 12.

Reworded rule 52:

“The number of directors of the credit union shall be not less than 5 or more than 12, a maximum determined from time to time by agreement of members at the AGM. Directors(other than directors appointed under Rule 56) shall be elected at an annual general meeting in accordance with Rule 46. The Board of Directors has the power to propose a policy on Election of Representatives to an AGM to ensure the Board consists of representatives of all areas, sections and diverse groups covered by the credit union.”

Rule 57 Change: Sets the minimum number of board meetings to 9 per year and states that attendance can be in person or via telecommunications.

Reworded rule 57:

“Regular meetings of the board of directors shall be held not less often than 9 per Credit Union fiscal year, the date, time and place to be decided by the directors. All meetings shall be summoned in such a manner as the Board may from time to time determine and can either be attended in person or via a telecommunications link.”
